2. Scope of Agreement
a. By registering as a vendor on FireCART, the Vendor agrees to comply with all the terms and conditions set forth in this Agreement.
b. The Vendor acknowledges that FireCART is a platform that facilitates the sale of Products and is not a party to any transaction between the Vendor and the end customer.
c. FireCART reserves the right to modify or update this Agreement at any time, and such modifications or updates will be effective upon posting on the FireCART website.
3. Vendor Obligations
a. The Vendor shall be responsible for creating and maintaining accurate listings of Products on the FireCART platform.
b. The Vendor shall ensure that all Products comply with applicable laws and regulations, including but not limited to safety standards, labeling requirements, and intellectual property rights.
c. The Vendor shall fulfill orders in a timely manner and provide accurate shipping and tracking information to FireCART and the end customer.
d. The Vendor shall promptly address any customer inquiries, complaints, or disputes related to the Products or transactions on FireCART.
4. Commission
a. In consideration for the services provided by FireCART, the Vendor agrees to pay a commission on the sale of Products through the FireCART platform.
b. The commission rate shall be [Commission Rate]% of the total sale price of each Product sold.
c. The commission shall be deducted by FireCART from the proceeds of each sale before remitting the remaining balance to the Vendor.
5. Payment
a. FireCART shall remit payment to the Vendor for the sale of Products, less any applicable commissions and fees, within 5 days of client’s confirmed receipt of goods and services.
b. Payment shall be made by one of FireCART’s offered payment method.
6. Intellectual Property
a. The Vendor grants FireCART a non-exclusive, royalty-free license to use, reproduce, and display the Vendor’s trademarks, logos, and product images for the purpose of promoting and marketing the Products on the FireCART platform.
b. The Vendor represents and warrants that it has the necessary rights and permissions to use and sublicense any intellectual property rights associated with the Products.
7. Termination
a. Either party may terminate this Agreement upon written notice to the other party.
b. Upon termination, the Vendor shall cease selling Products on the FireCART platform, and FireCART shall settle any outstanding payments to the Vendor in accordance with Section 5.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any disputes arising out of or related to this Agreement shall be resolved exclusively by the courts of [Jurisdiction].
